First Choice Healthcare Solutions, a Florida-based company engaged in providing billing services to healthcare providers, serves as the holding company for I.V. Services Ltd. Inc. ("IVS"). IVS was incorporated in Florida on September 28, 1987. On June 30, 2007, we issued 8,000,000 shares of common stock in exchange for 100% of the capital stock of IVS held by Mr. Michael West. In the second quarter of 2011, we disposed of IVS, which at the time was a wholly-owned subsidiary of the company and inactive. The consideration for the disposition was the assumption of net indemnification liabilities by the buyer.
