Cactus Acquisition Corp. is a newly registered blank check company formed for the purpose of achieving a merger, stock exchange, asset acquisition, share purchase, reorganization, or a business combination with one or more similar businesses, which we refer to throughout this prospectus as our initial business combination. While we may seek a business combination target in any business or industry and in any geographic region, we intend to focus our search on businesses that are domiciled in Israel and conduct all or a substantial portion of their technology-based healthcare activities in Israel.
