On January 13, Johnson & Johnson announced that it had reached a definitive agreement with Intra-Cellular Therapies. Johnson & Johnson will acquire Intra-Cellular Therapies, a biopharmaceutical company focused on the treatment of central nervous system (CNS) disorders, for $132 per share in cash, with a total value of approximately $14.6 billion.The acquisition includes CAPLYTA® (lumateperone), the only drug approved by the U.S. FDA for treating depressive episodes associated with bipolar I and II disorders as well as schizophrenia in adults. CAPLYTA® is currently seeking FDA approval as an adjunctive treatment for major depressive disorder, and if approved, it is expected to become a new standard in depression treatment. The deal also encompasses innovative drugs in clinical stages, such as ITI-1284 for generalized anxiety disorder and agitation associated with Alzheimer’s disease psychosis. Johnson & Johnson plans to finance the transaction through cash and debt and expects to complete the deal within this year. As of January 14, 2025, Johnson & Johnson's stock price was $144.47, up $2.43 (a 1.71% increase) from the previous trading day.

Through this agreement, Johnson & Johnson will acquire CAPLYTA® (lumateperone) from Intra-Cellular Therapies, a once-daily oral treatment approved for the treatment of adult schizophrenia, as well as depressive episodes associated with bipolar I or II disorder, either as monotherapy or in combination with lithium or valproate. The acquisition also includes ITI-1284, a promising Phase II clinical candidate being investigated for generalized anxiety disorder (GAD) and psychosis and agitation related to Alzheimer's disease, along with a clinical-stage pipeline that further complements and strengthens Johnson & Johnson’s current areas of focus.
