This morning (March 18, 2025), Medtronic announced a significant change in its financial leadership.
Former Senior Vice President, Global Chief Financial Officer and Chief Accounting Officer Jennifer M. Kirk will officially leave on May 2, 2025.`, transitioning to CEO of privately held Exubrion Therapeutics`
Denise L. Blomquist, current Vice President, will assume the role effective March 17, 2025, ensuring a smooth transition of responsibilities.

Ms. Kirk stated that her departure was a personal career choice and had no disagreements with Medtronic's operations, policies, or management.
Blomquist, a graduate of the "Public Ivy" University of Wisconsin-Madison, succeeded her.Joined Medtronic in 2004, held several key financial positions, and in recent years has been overseeing global financial systems and process controls.

Ms. Blomquist's future compensation system includes:
√ Base Salary
√ Short-term Incentive Plan (MIP)
√ Long-Term Incentive Plan (LTIP, 2021 Edition)
√ Executive Equity Portfolio
Medtronic's Compensation Committee will conduct a systematic review of Ms. Blomquist's short-term incentive plan (MIP) and long-term incentive plan (LTIP) based on the annual evaluation mechanism. Her equity incentive measures will follow the standardized agreement framework applicable to senior executives of the company.
