HeartCare Medical-B (06609) Appoints Zhang Kun as Member of Nomination Committee Amid Governance Restructuring

HeartCare (06609) announced that, starting from March 27, 2025, Mr. Wang Guohui will no longer serve as a member of the Board Nomination Committee to strengthen corporate governance and comply with the new gender diversity requirements for nomination committees under the Hong Kong Stock Exchange Listing Rules, effective July 1, 2025. Ms. Zhang Kun has been appointed as a member of the Nomination Committee concurrently. Mr. Wang Guohui will continue to serve as the Chairman of the Board, Chief Executive Officer, Executive Director, Chairman of the Board Strategy Committee, and a member of the Board Remuneration Committee.

Shanghai HeartCare Medical Technology Co., Ltd. held the Employee Representative Conference on March 27, 2025, during which Mr. Liu Baiwei was elected as the employee representative supervisor of the second session of the Board of Supervisors. Mr. Liu's appointment as the employee representative supervisor will take effect from March 27, 2025, and his term will be consistent with that of the second session of the Board of Supervisors. During his term, he will not receive any remuneration for serving as the employee representative supervisor. Mr. Liu has also been appointed as the Chairman of the Board of Supervisors. On the same day, Mr. Xue Zongyu resigned from his position as a supervisor of the company due to other personal commitments and will no longer serve as the employee representative supervisor or the Chairman of the Board of Supervisors.

Effective March 27, 2025, due to internal work adjustments within the company, Ms. Zhang will no longer serve as the Vice General Manager of the company. Ms. Zhang will continue to serve as an Executive Director of the Board, a member of the Board's Strategy Committee, and a member of the Nomination Committee, and will remain a member of the Group's management team.
