According to the cooperation agreement, Nurix is deploying its proprietary DEL-AI drug discovery platform to identify novel drugs that use E3 ligases to induce the degradation of specific drug targets. Sanofi has the right to license the candidate drugs generated from this work, and Nurix has the option to co-develop and co-promote up to two future products in the United States after the research phase to evaluate dosage, efficacy, and safety, providing clinical proof of concept. For projects Nurix chooses to co-develop and co-promote, both parties will equally share profits and losses in the U.S., and Nurix will be eligible for royalties on sales of all optional products outside the U.S. For projects where Nurix does not exercise its option, Nurix will receive milestones and royalties based on global development and sales. Following the signing of the agreement in December 2019, Sanofi paid Nurix an upfront payment of $55 million, followed by an additional $22 million a year later to expand the scope of the collaboration. Including this $15 million license extension fee, as part of this collaboration, Nurix has received $105 million from Sanofi, and each licensed program remains eligible for up to $465 million in development, regulatory, and commercial milestones, as well as future sales royalties.
