AstraZeneca Completes $1 Billion Acquisition of In Vivo Cell Therapy Pioneer EsoBiotec

On May 20, AstraZenecaAstraZeneca announced, has officially completed the acquisition of biotechnology company EsoBiotec. The acquired company is a pioneer in the field of in vivo cell therapy. The total value of the deal is up to 1 billion US dollars, including an upfront payment of 425 million US dollars and subsequent milestone payments of up to 575 million US dollars.

EsoBiotec is a biotechnology company focused on in vivo cell therapy, with early clinical studies already showing encouraging results. At the heart of this acquisition is EsoBiotec's proprietary technology—the Engineered NanoBody Lentiviral (ENaBL) platform—which enables the delivery of target genes to specific immune cells (such as T cells) via highly targeted lentiviral vectors, allowing the immune cells to recognize and destroy tumor cells or be used for treating autoimmune diseases.

The innovation of the ENaBL platform lies in its ability to directly modify immune cells within the patient’s body through genes carried by viral vectors, thereby avoiding the complex process required in traditional cell therapies based on gene modification (i.e., ex vivo gene therapy), which involves extracting cells from the patient, modifying them genetically outside the body, and then re-infusing them into the patient. This not only significantly reduces treatment time (From the original several weeks reduced to a few minutes), it not only lowers treatment costs and operational difficulty but also improves the accessibility of treatment. Moreover, in terms of treatment principles, such therapies can actually be considered a type of targeted gene therapy for immune cells (in vivo).

AstraZeneca's Executive Vice President of Oncology and Hematology R&D, Susan Galbraith, stated that this acquisition provides an opportunity to rapidly advance EsoBiotec's in vivo cell therapy technology platform and believes it will drive innovation in the field of cell therapy.

Dr. Jean-Pierre Latere, CEO of EsoBiotec, emphasized the importance of the collaboration with AstraZeneca, aiming to jointly promote the development of more cost-effective cell therapies worldwide.
