On June 2, Bristol-Myers Squibb (BMS) and BioNTech announced that they had reached an agreement to jointly develop and commercialize BioNTech's bispecific antibody candidate BNT327 (PM8002, acquired from Promab) globally for various types of solid tumors. According to the agreement, BioNTech and BMS will work together to expand and accelerate the development of this clinical candidate.BMS will pay BioNTech 1500 million USDYuanThe down payment, and pay a total of$2 billionNon-contingent anniversary payments. These tax-deductible expenses will be recorded as acquired IPR&D expenses when incurred, with $1.5 billion to be accounted for in the second quarter.In addition, BioNTech will be eligible to receive up to$7.6 billionAdditional development, regulatory and commercial milestone paymentsBioNTech and BMS will jointly bear the development and manufacturing costs in a 50:50 ratio, with certain exceptions. Global profits/losses will be equally shared between BioNTech and BMS.Under the terms of the agreement, the two parties will jointly develop and commercialize BNT327, including the development of BNT327 as a monotherapy and in combination with other products. Both companies have the right to independently develop the application of BNT327 in further indications and combination therapies, including combining BNT327 with their respective pipeline assets.BNT327 is a next-generation bispecific antibody candidate targeting PD-L1 and VEGF-A.In November 2023, BioNTech obtained the rights to develop, manufacture, and commercialize the drug globally (excluding Greater China) for an upfront payment of $55 million, as well as over $1 billion in development, regulatory, and commercial milestone payments, along with tiered sales royalties.In November 2024, BioNTech acquired Promab for $950 million.
Currently, BNT327 is being evaluated in several ongoing trials.Have clinically treated more than 1,000 patients, including global Phase 3 trials for first-line treatment of extensive-stage small cell lung cancer (ES-SCLC) and non-small cell lung cancer (NSCLC)., these trials have registration potential. A global Phase 3 trial targeting triple-negative breast cancer (TNBC) is planned to be launched by the end of 2025.
