On August 29 (before trading hours), XtalPi entered into a placement agreement with five placement agents, pursuant to which XtalPi agreed to issue, under the general mandate, and the placement agents agreed (severally and not jointly or jointly and severally) to act as the company’s agents, subject to the terms and conditions of the placement agreement, to use their best efforts to procure subscribers to subscribe for a total of up to 285,920,000 placement shares at a placement price of HKD 9.28 per share.Portion。
Assuming all 285,920,000 placement shares are fully subscribed, the total gross proceeds from the placement upon completion will be approximately HK$2,653.3 million, while the net proceeds from the placement (after deducting all applicable costs and expenses, including commissions and fees) are estimated to be approximately HK$2,629.8 million.

XtalPiIn January this year, a placement of HKD 1.13 billion (HKD 4.28 per share) and in February, a placement of HKD 2.088 billion (HKD 6.10 per share), with net proceeds of approximately HKD 3.205 billion raised for: (i) continuous product iteration and upgrades, enhancement of R&D technical capabilities and solution capabilities, data generation and model establishment; (ii) product commercialization and business development, strengthening business cooperation with external parties and partners engaged in industries similar to and mutually beneficial with the Group, and expanding the Company's scale and market share; and (iii) potential acquisition and investment opportunities, talent attraction and recruitment, working capital replenishment, and general corporate purposes.
