Weigao Blood Purification to Acquire 100% Equity of Weigao Purui via Share Issuance

WEGO Corporation(01066) announced that on October 17, 2025, the company, Weihai Shengxi Enterprise Management Consulting Center (Limited Partnership) (Weihai Shengxi), Weihai Ruiming Enterprise Management Consulting Partnership (Limited Partnership) (Weihai Ruiming), and Shandong WEGO Blood Purification Products Co., Ltd. (WEGO Blood Purification) signed a non-legally binding letter of intent. According to the letter, WEGO Blood Purification will issue consideration shares to each shareholder of WEGO Prima to acquire 100% of the equity in WEGO Prima.

It is reported that WEGO Blood Purification is a company established in China, and its A-share is listed on the Shanghai Stock Exchange (Stock Code: 603014.SH). The company is mainly engaged in the research, production, and sales of medical products for blood purification. Its main products include hemodialyzers, hemodialysis tubing, hemodialysis machines, and peritoneal dialysis solutions, covering both hemodialysis and peritoneal dialysis fields, supplemented by the sales of complementary dialysis products. As of the date of this announcement, WEGO Blood Purification is controlled by the company's controlling shareholder, Weigao Group Co., Ltd. The company also directly holds 23.53% of the shares of WEGO Blood Purification.

As of the date of this announcement, Shandong WEGO Prefills Pharmaceutical Packaging Co., Ltd. is a non-wholly owned subsidiary of the company, with equity ownership distributed as follows: 94.0706% held by the company, 4.0215% by Weihai Shengxi, and 1.9078% by Weihai Ruiming.

The Board believes that, if the potential transaction can be completed, WEGO Prefills and WEGO Blood Purification will generate synergies in their operations, further expanding the overall business landscape of the Group.
