PharmaCircle DataMonitoring shows: On July 2, 2026, Scribe Therapeutics, Inc., an Australian company, filed its S-1 registration statement with the U.S. Securities and Exchange Commission (SEC) on July 2, planning to conduct an initial public offering (IPO) of common stock on the Nasdaq Global Market under the ticker symbol SCTX, with a maximum total fundraising target of $75 million.
The company is a clinical-stage CRISPR genomic and epigenomic editing biotechnology enterprise focused on cardiovascular and metabolic diseases.
The Company’s core, self-developed clinical candidate is STX-1150, an in vivo therapy leveraging the Company’s proprietary ELXR epigenetic editing platform (Epigenetic Long-Term X-Repressor), inHepatocytesimplemented inLong-acting Transcriptional Silencing of the PCSK9 Gene; As of the date of submission of this document,STX-1150 Has Entered Phase I Clinical Trials in Humans for Hypercholesterolemia。

None of the securities proposed for issuance or sale in this initial public offering (IPO) carry any obligation to pay royalties. Separately, the company holds an upstream CRISPR technology licensing and collaboration agreement under which Scribe is entitled to receive tiered commercialization royalties from its partner, Eli Lilly and Company (“Lilly”), and its wholly-owned subsidiary, Prevail Therapeutics.
Pursuant to the aforementioned BD/technology licensing terms, Scribe shall permanently retain the right to collect royalties on all CRISPR therapeutic products developed and commercialized by Lilly and Prevail using Scribe’s engineered CRISPR editing tools.
