Metsera's board further determined that, compared to Pfizer's merger proposal, Novo Nordisk's proposed deal would expose the company and its shareholders to unacceptable legal and regulatory risks, including the risk that the initial dividend may not be paid or could subsequently be clawed back.
Metsera's board unanimously reaffirmed its recommendation, urging the company's common shareholders to vote in favor of the amended Pfizer merger agreement at the special meeting, stating that "the board has determined that the revised terms represent the best option for maximizing shareholder value, both in terms of value and transaction certainty."
The two parties expect to quickly complete the transaction after the special shareholders' meeting on November 13.
