VCBeat (WeChat ID: vcbeat) has learned that KPC, a diversified large-scale conglomerate, and Verity Health, a healthcare organization, recently signed an agreement to acquire four hospitals under Verity Health for $610 million. The four hospitals are Francis Medical Center and St. Vincent Medical Center in Southern California, as well as Seton Medical Center and Seton Coastside in Northern California. Among them, St. Vincent Medical Center is the oldest hospital in the Los Angeles area, with a history of 163 years.
On January 18, 2019, Verity Health filed for bankruptcy with the court, planning to publicly auction off its four hospitals. It is reported that Verity Health’s bond and pension liabilities exceeded $1 billion. The substantial debt burden compelled Verity Health to divest some of its hospital assets.
According to the bankruptcy filing, KPC will pay $420 million to Francis, $120 million to St. Vincent Medical Centers, and a total of $70 million to Seton Medical Center and Seton Coastside. Meanwhile, other buyers may also compete with KPC, with the highest bidder acquiring these four hospitals.
As the acquisition moves forward, KPC has committed to retaining existing employees and core operations after the deal is closed. Rich Adcock, CEO of Verity Health, stated, “Verity Health has been dedicated to finding a suitable buyer. Clearly, KPC is one such suitable buyer.”
Peter Baronoff, CEO of KPC, stated, “We are highly optimistic about the future of these four hospitals. We will continue to operate them and strive to maintain their strong track record in community service.”
It is reported that Verity Health incurred a loss of $35.3 million in 2017, which widened to $111.4 million in 2018. The company had also planned to sell its two other hospitals, O’Connor Hospital and St. Louise Regional Hospital, but the transaction was delayed due to opposition from the California Attorney General.
