Guosheng Haitong Fund and Haitong Securities to Strategically Invest in Meinian Onehealth, Aiming for 5% Stake to Foster Healthcare Industry Collaboration

On January 24, 2019, Meinian Onehealth Healthcare Holdings Co., Ltd. (hereinafter referred to as “Meinian Health”), Shanghai Guosheng Haitong Equity Investment Fund Partnership (Limited Partnership) (hereinafter referred to as the “Guosheng Haitong Fund”), and Haitong Securities Co., Ltd. (hereinafter referred to as “Haitong Securities”) jointly signed the Strategic Cooperation Agreement among Meinian Onehealth Healthcare Holdings Co., Ltd., Shanghai Guosheng Haitong Equity Investment Fund Partnership (Limited Partnership), and Haitong Securities Co., Ltd.

According to the announcement, the key points of the collaboration between the two parties include:

1. Investment and Financing Cooperation

Guosheng Haitong Fund and Haitong Securities (or asset management plans established with the participation of Haitong Securities) intend to make a strategic investment in Meinian Onehealth and hold a 5% equity stake therein. The specific investment structure shall be separately agreed upon by the investors and relevant parties in compliance with applicable laws and regulations. Following Guosheng Haitong Fund’s strategic investment in Meinian Onehealth, Guosheng Haitong Fund may nominate professionals to join the board of directors of Meinian Onehealth.

2. Strategic Support

Guosheng Haitong Fund will fully leverage its role in promoting the healthy development of the private economy, facilitating the rapid growth of Meinian Onehealth’s business through the alignment of capital with industry, thereby jointly contributing to Shanghai’s healthcare industry.Haitong Securities will utilize its professional advantages in the capital markets to provide Meinian Onehealth with a comprehensive suite of specialized financial services, including but not limited to: private placements, mergers and acquisitions, asset restructuring, domestic and overseas bond issuances, financial leasing, industrial funds, and investment and wealth management. Under equal conditions, Meinian Onehealth shall give priority consideration to Haitong Securities or its subsidiaries as the providers of the aforementioned financial services.

3. Other Business Collaborations

The comprehensive cooperation among the three parties includes, but is not limited to, equity investments and the sharing of channels and customer resources. To achieve resource sharing, complementary advantages, and mutual development among the three parties, while aligning with their respective strategic development goals, new areas of cooperation are proposed.
