Ra Pharmaceuticals, founded in June 2008 and headquartered in Massachusetts, USA, is a clinical-stage pharmaceutical company. The company leverages its proprietary peptide chemistry platform to develop novel therapies for severe diseases caused by excessive or uncontrolled activation of the complement system. Committed to leading the field of complement biology, Ra Pharmaceuticals strives to provide innovative and convenient treatments for patients with rare diseases by discovering and developing peptides and small molecules that target key components of the complement cascade.

Ra Pharma developed Zilucoplan, a therapeutic agent for generalized myasthenia gravis (gMG), leveraging its robust proprietary drug discovery platform. This synthetic macrocyclic peptide binds to complement component C5, inhibiting its cleavage into C5a and C5b, thereby reducing the risk of autoimmune disease occurrence. Zilucoplan offers patients a convenient and straightforward subcutaneous treatment regimen with high efficacy. The drug was expected to initiate a 12-week Phase III clinical trial in the second half of 2019. On September 6, 2019, Zilucoplan received Orphan Drug Designation from the U.S. Food and Drug Administration (FDA).

UCB is a biopharmaceutical and specialty chemicals company headquartered in Belgium, focusing on two therapeutic areas: central nervous system (CNS) disorders and immunology. In the field of CNS disorders, the company addresses conditions such as epilepsy, diabetic neuropathic pain, multiple sclerosis, fibromyalgia, restless legs syndrome, and Parkinson’s disease. It also focuses on immunological diseases, including allergies, osteoporosis, Crohn’s disease, rheumatoid arthritis, and systemic lupus erythematosus. UCB and its subsidiaries operate research and development facilities in Belgium, Germany, Japan, the United Kingdom, and the United States.

The transaction has been approved by the boards of directors of both companies and is expected to be completed by the end of the first quarter of 2020. Jean-Christophe Tellier, CEO of UCB, stated, “Ra Pharma’s strategy aligns perfectly with UCB’s. Ra Pharma is expected to launch six potential products over the next five years, which will effectively complement UCB’s R&D pipeline in neurology and immunology.”
