“Either acquiring or on the way to preparing for an acquisition”

In January 1992, Denis R. Burger co-founded Trinity Biotech and served as its Chairman from June 1992 to May 1995. Another founder, Ronan O'Caoimh, served as Chief Financial Officer until he became Chief Executive Officer in March 1994, and subsequently assumed the role of Chairman in May 1995, a position he has held ever since.

Trinity Biotech is headquartered in Dublin, Ireland, with manufacturing facilities in Jamestown, New York; the United Kingdom; Germany; Canada; and Sweden. Notably, just four months after its establishment, Trinity Biotech completed its initial public offering (IPO) in the United States, raising net proceeds of over $5 million.

Since its inception, Trinity Biotech has been keen on expanding through acquisitions.

In 1993, Trinity Biotech acquired Irvine-based Disease Detection International in Irvine, California, gaining access to products capable of detecting sexually transmitted diseases and other infectious diseases. In December 1994, Trinity Biotech acquired the remaining 50% stake in FHC Corporation, a women’s health company dedicated to developing one-step pregnancy testing technology, through a stock swap.

In July 1996, Trinity Biotech launched the Uni-Gold IV test kit. The Uni-Gold series of rapid point-of-care devices includes high-quality disposable immunoassays to aid in the diagnosis of HIV, sexually transmitted diseases (STDs), and respiratory and gastrointestinal infections.

In February 1997, Trinity Biotech successively acquired Clark Laboratories in Jamestown, New York, USA, and Centocor, a biotechnology company and wholly-owned subsidiary located in Cambridge, UK.

In 1998, Trinity Biotech acquired four product lines: hormone and drugs-of-abuse tests from Diatech, MacraLp(a) from Strategic Diagnostics, HIV products from Cambridge Diagnostics, and the MicroTrak product line from Dade Behring.

Concurrently with the acquisition, Trinity Biotech opened a 50,000-square-foot manufacturing facility in Bray, Ireland, and extended its agreement with Warner-Lambert for the production of home pregnancy tests.

As the new century dawned, Trinity Biotech’s enthusiasm for acquisitions remained undiminished.

In March 2000, Trinity Biotech acquired Mardx Diagnostics and concluded the year with the acquisition of Bartels. In October 2001, the company established its German sales and marketing subsidiary upon acquiring Ortho Clinical Diagnostics’ Amerlex hormone business. In December 2001, the company acquired Biopool’s assets and hemostasis business.

In 2002, Trinity Biotech acquired Sigma Diagnostics’ hemostasis testing division and specialized clinical chemistry product line in August and December, respectively. Concurrently, the company relocated the Sigma hemostasis testing division from St. Louis to its facility in Ireland and established a UK sales and marketing subsidiary in October.

In December 2003, Trinity Biotech’s Uni-Gold Recombigen HIV test kit received FDA approval. In April 2004, Trinity Biotech acquired Fitzgerald, a Massachusetts-based company, for $16 million. In November, the company’s Uni-Gold Recombigen HIV test obtained CLIA waiver status in the United States.

In 2005, Trinity Biotech acquired Research Diagnostics in Flanders, New Jersey, USA, and Primus in Kansas City, Missouri, USA.

In 2006, Jun acquired the coagulation division of bioMérieux. In November 2007, Ronan O'Caoimh decided to separate the roles of Chief Executive Officer and Chairman, assuming the position of Executive Chairman. Following the resignation of the CEO, Ronan O'Caoimh resumed the dual roles of Chief Executive Officer and Chairman in October 2008.

In May 2010, Trinity Biotech sold its coagulation division to Stago. The following year, the company acquired Phoenix Bio-tech Corporation.

In March 2012, Trinity Biotech acquired Fiomi Diagnostics AB for $13.1 million, gaining access to a high-precision benchtop analyzer featuring cassette-based assays for the detection of troponin I. Troponin I (TnI) is the preferred biomarker for detecting acute myocardial infarction and accounts for more than 50% of the $900 million global cardiac point-of-care testing market.

This platform offers significant advantages in cardiac marker detection. Furthermore, Fiomi technology serves as an ideal platform for developing next-generation, high-sensitivity, multiplexed infectious disease assays (such as Chlamydia-Gonorrhea and Influenza A/B-RSV), making it highly suitable for Trinity Biotech’s core point-of-care infectious disease business.

In July 2013, Trinity Biotech acquired Immco Diagnostics for $32.75 million. Headquartered in Buffalo, New York, Immco is a medical diagnostics company with 90 employees, dedicated to the global development, manufacturing, and sales of autoimmunity test kits. Three months later, the company also acquired Lab21’s blood bank screening business.

“Haste makes waste,” and Trinity Biotech has also tasted the bitter fruit.

In October 2016, the FDA withdrew its approval of Trinity Biotech’s Meritas point-of-care analyzer. The announcement sent shockwaves through the stock market, with the company’s share price plunging more than 51% by 1:30 p.m. Eastern Time that day. During the review process, Trinity Biotech sought to control costs by transferring technology from its Swedish facility to Ireland and eliminating 40 jobs.

Since January 2017, Avant Medical has expanded its collaboration with Trinity Biotech in the Benelux region by exclusively selling and distributing the clinical chemistry product line. Since 2014, Avant Medical has served as the exclusive distributor for Trinity Biotech’s infectious disease product line.

The clinical chemistry product line is an excellent fit for Avant Medical’s robust portfolio of specialized niche products. This product line includes kits for multi-platform diagnostic assays for oxalate, angiotensin-converting enzyme (ACE), and bile acids, aiding in the diagnosis of various organ failures.

Trinity Biotech currently has approximately 21 million American Depositary Shares, employs over 570 staff worldwide, and offers a portfolio of more than 400 products to over 110 countries and regions globally. With manufacturing facilities in Europe and the Americas, its products are sold in more than 110 countries.

Three Signature Brands, Represented by Uni-Gold

Trinity Biotech specializes in the development, manufacturing, and sales of diagnostic test kits. Its products are designed for clinical laboratories and the point-of-care testing (POCT) segment of the diagnostics market. The product portfolio encompasses diagnostics for autoimmune diseases, hormone-based diagnostic reagents, drugs of abuse and therapeutic drug monitoring, serological diagnostics for sexually transmitted and infectious diseases, as well as clinical hematology testing (Sigma) and clinical coagulation testing (Biopool). The company currently features three distinctive brands: Uni-Gold, Fitzgerald, and CAPTIA.

Uni-Gold Series: This single-use immunoassay aids in the diagnosis of HIV, sexually transmitted diseases (STDs), and respiratory and gastrointestinal disorders. The product’s ease of use and durability ensure its applicability across diverse settings, including laboratories, STD clinics, and voluntary counseling and testing (VCT) centers. HIV tests from this brand account for the majority of the company’s point-of-care (POC) revenue. Rapid test products for HSV-2 within this series have received market approval in the United States, Europe, and other key regions.

Fitzgerald (Fitzgerald Industries International): This is the biological reagents division of Trinity Biotech, dedicated to the research, development, and production of antibodies, proteins, ELISA kits, and biological reagents. Trinity Biotech manufactures and supplies primary antibodies, secondary antibodies, recombinant proteins, native proteins, ELISA kits, serum and plasma, as well as many other biological reagents. In 2014, the company launched custom recombinant protein manufacturing services to meet customer demand for specialized proteins not commercially available.

Trinity Biotech’s product portfolio spans multiple fields, including infectious diseases, oncology, cardiac markers, hormones, drugs and toxicology, and neuroscience. The company also conducts research, development, and manufacturing in areas such as cell biology, signal transduction, cell cycle and apoptosis, immunology, and veterinary medicine. Its flagship products include Uni-Gold Streptococcus pneumoniae, the DFS70-KO kit, the Premier Hb9210 HbA1c analyzer, and AP16 IF ELITE.

Uni-Gold Streptococcus pneumoniae: This is a single-use rapid immunoassay for the qualitative detection of Streptococcus pneumoniae (S. pneumoniae) antigen in urine from patients with suspected pneumonia and in cerebrospinal fluid from patients with suspected meningitis. The test kit is stored at 2–30°C and requires no pre-warming time prior to testing. Each kit includes positive and negative controls.

Premier Hb9210 HbA1c Analyzer: The instrument consists of a complete high-performance liquid chromatography (HPLC) system, a compact sample processor, and a workstation equipped with Affinity Control software. Unlike charge-based ion-exchange HPLC separation methods, which cannot detect all glycated hemoglobin (Hb) variants, the Premier Hb9210 utilizes boronate affinity for glycation-specific binding to detect all glycated Hb.

The Premier Hb9210 offers a sample analysis time of just 75 seconds, delivering the fastest currently available glycated hemoglobin (HbA1c) testing with a coefficient of variation (CV) of less than 2%. With a capacity of 210 patient samples and support for both batch and continuous loading modes, plus dedicated statistical sample positions, the system provides the flexibility and throughput required by all medium- to high-volume laboratories. These combined technologies enable rapid diagnosis and monitoring of HbA1c levels in diabetic patients, allowing laboratories to meet any compliance targets and streamline patient flow in busy clinical settings.

DFS70-KO / HEp-2 ELITE 5 x 12-Well Slide Kit: An indirect immunofluorescence (IF) antibody test for the detection and quantification of antinuclear antibodies (ANA) in human serum.

AP16 IF ELITE: This device is an innovative high-speed processor capable of running 16 IFA slides. It is equipped with a sliding sample barcode reader and a camera for slide barcode scanning. Highly reliable and built with the latest technology, it performs operations such as sample dilution, dispensing of samples and reagents, incubation, and cuvette washing.

AP16 IF ELITE features a compact footprint, employs a continuous-flow 2-needle system for well washing, and includes an integrated barcode reader to support automatic sample code acquisition.

Final Thoughts

Trinity Biotech is an internationally renowned manufacturer and supplier of clinical diagnostic reagents and clinical immunology instruments, and was among the first pharmaceutical high-tech companies to be listed on NASDAQ. Since its inception, Trinity Biotech has combined strong organic growth with a strategy driven by incremental acquisitions, actively pursuing leadership in the global diagnostics industry.

According to a BCC Research survey on the global market share of point-of-care (POC) testing for infectious diseases in 2018, Trinity Biotech accounted for 2% of the global market. Although its market share is modest, it is one of the few brands offering autoimmune diagnostic reagents with both FDA and CE certifications in the Chinese market. Currently, Trinity Biotech accesses the Chinese market solely through distributor channels. Whether it will take further steps as the domestic POCT market continues to expand remains to be seen.
