Laekna Announces NewCo Deal with Vasque Bio for Global Rights to PI3Kα Pan-Mutant Inhibitor LAE118

Pursuant to the terms and conditions of the License Agreement, Laekna Therapeutics grants Vasque Bio a global(Excluding Mainland China, the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan)exclusive license to develop, manufacture, commercialize, and otherwise exploit LAE118 (a novel pan-mutant selective PI3Kα inhibitor), along with related rights.

In return,Laekna TherapeuticsEntitled to receive a non-refundable and non-creditable upfront cash payment$10 million, and without additional consideration,Entitled to an equity stake of up to the high double-digit percentage of Vasque Bio’s issued ordinary shares, or cash payments in lieu of such ordinary shares. Under the license agreement, Laekna Therapeutics is also entitled to receive aggregate payments of up toUSD 517 millionmilestone payments for the development and sales of , as well as tiered sales royalties ranging from single-digit to double-digit percentages based on the future net sales of LAE118 within the licensed territory.
