PharmaCircleMonitoring Shows: Recently, Cabaletta Bio, Inc. (NASDAQ: CABA, hereinafter referred to as "Cabaletta Bio" or "the Company"), a clinical-stage biotechnology company from the United States, announced that it has completed the pricing of an underwritten public offering, issuing 51,724,138 shares of common stock at a price of $2.90 per share, for a total raise of approximately $150 million (before deducting underwriting discounts, commissions, and other estimated offering expenses). This offering was subscribed by major institutional investors such as Eli Lilly and Company.

The Company intends to use the net proceeds from this offering to advanceAutoimmunityCell Therapy Pipeline (including core candidate drug rese-cel, i.e., resecabtagene autoleucel,4-1BB CD19-CART) research and development, while also replenishing working capital, strengthening the balance sheet, and other general corporate purposes. The closing of this offering is expected to occur around May 8, 2026, subject to customary closing conditions.

Rese-cel is an autologous CAR-T cell therapy previously jointly developed by Cabaletta Bio and BMS, featuring a fully human CD19-binding domain and a 4-1BB co-stimulatory domain. Previously, in October 2022, IASO Biotherapeutics and Cabaletta Bio from Shanghai/Nanjing, China, announced a global exclusive licensing agreement for the CD19 sequence:Caribou Biosciences Grants Cabaletta Bio Exclusive Global Rights to Develop, Manufacture, and Commercialize its Clinically Validated Fully Human CD19 Sequence for Use in CABA-201, Cabaletta’s Modified T Cell Therapy for Autoimmune DiseasesReindeer Bio will be eligible to receive upfront payments totaling approximately $162 million for up to two products, as well as potential development and commercialization milestone payments and sales royalties. It will also have the priority to develop and commercialize Cabaletta products using the licensed sequences in Greater China.
