Gelonghui, March 26 | C-MER Medical (03309.HK) announced that it plans to acquire all equity interests in Shanghai Lushide Medical Instrument Technology Co., Ltd. The acquisition agreement was entered into on March 26, 2019, pursuant to which C-MER China, a wholly-owned subsidiary, will acquire all equity interests in Shanghai Lushide Medical from the sellers, Renben Technology and Zhongmin Investment, for a consideration of RMB 82.9 million. Upon completion of the transaction, Shanghai Lushide Medical will become a wholly-owned subsidiary of the company.

The announcement shows that Shanghai Lushide Medical Instrument Technology Co., Ltd. is a limited liability company established in China on April 17, 2002, with a registered capital of RMB 28,002,500.

Shanghai Lushide Medical is an investment holding company, and its wholly-owned subsidiaries own and operate an ophthalmic hospital located in Huangpu District, as well as three clinics located in Pudong New Area, Yangpu District, and Putuo District, respectively.

It is reported that Shanghai Lushide Medical and its affiliates employ over 80 staff members, including 14 physicians. The ophthalmic hospital’s facilities feature 30 inpatient beds, enabling the provision of inpatient ophthalmic care, along with three operating rooms. Furthermore, it offers specialized diagnostic and therapeutic services for ophthalmic conditions, including cataract and refractive surgeries, as well as optometry services.

The Company stated that, following the closing, the Group will provide medical training to physicians and allied health professionals and upgrade medical equipment, thereby establishing a standardized and integrated ophthalmic healthcare service network in selected cities in China, including Beijing, Shenzhen, Huizhou, Kunming, and Shanghai.
