[China Financial Community News] MicroPort (00853-HK) announced that on August 31, 2020, its subsidiary Shanghai Moka Artificial Intelligence Technology Co., Ltd. and the target company (MicroPort (Shanghai) Medical Robot Co., Ltd.) entered into an agreement with the investors and Shanghai Changlong. Pursuant to the agreement: Shanghai Moka Artificial Intelligence Technology will transfer a 7.1429% equity interest in MicroPort (Shanghai) Medical Robot to the investors for RMB 1.5 billion; Shanghai Changlong, an existing shareholder of the target company, agreed to transfer a 2.3809% equity interest in the target company to the investors for RMB 500 million; and the investors agreed to inject additional capital totaling RMB 1.5 billion into MicroPort (Shanghai) Medical Robot.

Upon completion of these transactions, the post-investment valuation of MicroPort (Shanghai) Medical Robotics will be approximately RMB 22.5 billion, while Shanghai Mohua Artificial Intelligence Technology’s equity interest in MicroPort (Shanghai) Medical Robotics will decrease from 64.7560% to 53.7722%. MicroPort (Shanghai) Medical Robotics will remain a subsidiary of the Company.

The investors include Zhuhai Hillhouse Chongheng Equity Investment Partnership (Limited Partnership), a limited partnership established in China, owned by a private equity fund solely managed by Zhuhai Hillhouse Equity Investment Management Co., Ltd.; Tianjin Ronghao Enterprise Management Partnership (Limited Partnership), a limited partnership established in China. Its general partner is Beijing Rongyu Management Consulting Co., Ltd. (controlled by Beijing Panmao Investment Management Co., Ltd.), which has authorized Beijing Panmao Investment Management Co., Ltd. to manage the investments of Tianjin Ronghao Enterprise Management Partnership (Limited Partnership). The actual controllers of Beijing Panmao Investment Management Co., Ltd. are Nie Lei and Tian Yu; Jiaxing Beilin Hongrun Venture Capital Partnership (Limited Partnership), a limited partnership established in China, primarily engaged in equity investments in the healthcare industry; Tianjin Yuanyi Yuanfu Enterprise Management Center (Limited Partnership), a limited partnership established in China, primarily engaged in investment activities. It is ultimately beneficially owned by Far East Horizon (03360-HK).
