On July 28, Capital Bond learned that GRED (430496.NQ), a company listed on the National Equities Exchange and Quotations (NEEQ), recently released an announcement regarding external investment and related-party transactions.
According to the announcement, SHANDONG GRED MEDIC CO., LTD. (hereinafter referred to as the “Company”) intends to jointly invest with Shandong Liangen Investment Co., Ltd. (hereinafter referred to as “Liangen Investment”) to establish Shandong Payne Medical Device Co., Ltd. (hereinafter referred to as “Payne Medical”), with a registered capital of RMB 20 million. The Company will contribute RMB 10.2 million, accounting for 51.00% of the registered capital, while Liangen Investment will contribute RMB 9.8 million, accounting for 49.00% of the registered capital.
According to the relevant provisions of the "Q&A on Major Asset Restructuring Business of Listed Companies," this transaction does not constitute a major asset restructuring. It should be noted that this transaction constitutes a related-party transaction.
On July 26, 2021, the Company convened the 12th Meeting of the Fifth Board of Directors, at which the “Proposal on Establishing a Holding Subsidiary through Outbound Investment” was reviewed and approved.
GRED stated that this outbound investment is a prudent decision made in alignment with the company’s future strategy and long-term development. The investment is lawful and compliant, conducive to enhancing the company’s comprehensive strength, and does not involve any significant risks; however, certain operational and market risks may exist. The company will improve its internal control and risk prevention mechanisms, establish a competent management team, and proactively prevent and address risks to ensure the security and returns of this investment.
It is reported that GRED was listed on the National Equities Exchange and Quotations (NEEQ) on January 24, 2014, with its main business being the production and sales of disposable cranial external drainage devices and neonatal umbilical cord ligation protection bands.
