KENILWORTH, N.J., and CAMBRIDGE, Mass., September 30, 2021 – MSD (NYSE: MRK, the corporate trade name of Merck & Co., Inc. headquartered in Kenilworth, N.J.) and Acceleron Pharma (Acceleron Pharma Inc., a Nasdaq-listed biopharmaceutical company, hereinafter referred to as “Acceleron Pharma”) today announced that the companies have entered into a definitive agreement under which MSD will acquire Acceleron Pharma through its subsidiary for $180.00 per share in cash, representing a total transaction value of approximately $11.5 billion.

Acceleron Pharma focuses on the development of transforming growth factor-beta (TGF-β) superfamily proteins, which play a central role in regulating cell growth, differentiation, and repair. Acceleron Pharma’s lead candidate, sotatercept, features an innovative mechanism of action and holds the potential to improve short- and/or long-term clinical outcomes for patients with pulmonary arterial hypertension (PAH). PAH is a progressive, life-threatening vascular disease. Currently, sotatercept is undergoing Phase 3 clinical trials as an add-on to standard therapy for PAH and has not yet been approved.
