C-MER Eye Care Announces Apollo Framework Purchase Agreement with Mingda Eyewear for 2023

　　C-MER Medical(03309) announced that the conditions precedent related to the acquisition of 55% equity interest in Apollo Lens Company Limited are expected to be fulfilled by the end of October 2023. Upon completion of the acquisition, Apollo Lens Company Limited is expected to become a non-wholly owned subsidiary of the company. According to Rule 14A.06(9) of the Listing Rules, HONG KONG OPTICAL LENS COMPANY LIMITED, which holds the remaining 45% equity interest in Apollo, will be regarded as a connected person at the subsidiary level of the company.

In consideration of the completion of the matter, Apollo Lens Company Limited and HONG KONG OPTICAL LENS COMPANY LIMITED entered into the 2023 Apollo Framework Purchase Agreement on October 18, 2023. Under this agreement, HONG KONG OPTICAL LENS COMPANY LIMITED agrees to sell and supply, and Apollo Lens Company Limited agrees to purchase the relevant products from HONG KONG OPTICAL LENS COMPANY LIMITED according to the terms of the 2023 Apollo Framework Purchase Agreement. The initial term of the agreement starts from the completion date and ends on December 31, 2025 (inclusive of both start and end dates).
