On November 30, 2023, Phenomic AI ("Phenomic") announced a collaboration with Astellas (Astellas) a wholly-owned subsidiary of Xyphos Biosciences, Inc., to establish a strategic partnership. In this collaboration, Phenomic AI and Astellas will jointly explore antibodies targeting innovative stromal markers in tumors identified by Phenomic AI's scTx platform, aiming to enhance the capabilities of cell therapy in the field of solid tumor treatment.
According to the agreement, Phenomic will receive an upfront payment, full research funding, and milestone payments. Astellas has the right of first negotiation for the licensing of these antibodies during the term of the agreement.
Cancers Rich in Stroma (Such as Colorectal Cancer, Pancreatic Cancer, and Breast Cancer) Are Difficult to Treat Partially Due to the Presence of Tumor Stroma. This Complex Tissue Not Only Protects Cancer Cells from Existing Therapies but Also Promotes Cancer Growth and Metastasis. Phenomic's Innovative Platform Aims to Break Through the Barrier of Tumor Stroma by Identifying New Targets, Significantly Extending Patient Survival.
Phenomic's scTx platform has one of the largest single-cell RNA databases in the world along with a series of analysis and validation tools. The platform uses advanced artificial intelligence and machine learning algorithms to analyze diverse datasets, including imaging, RNA sequencing, and spatial transcriptomics data, to decode the complexity of individual cells within complex multicellular systems.Phenomic AI's unique matrix model and experimental capabilities enable efficient and accurate target evaluation, ultimately leading to treatment based on the scTx perspective.Phenomic AI (“Phenomic”) is a biopharmaceutical company dedicated to overcoming the tumor stroma, a major barrier leading to poor prognosis in most solid tumors. The company is applying its proprietary single-cell transcriptomics platform (called scTx ®) to advance a first-of-its-kind approach in the discovery and development of solid cancer therapeutics.Phenomic AI was founded by leading experts in the artificial intelligence industry and a world-class team with deep expertise in immuno-oncology, cancer, stromal biology, artificial intelligence, and machine learning.Xyphos was founded in 2017. In December 2019, Astellas acquired the company for a total value of $665 million. The company is located in South San Francisco, California. Its main technology platform is ACCEL.It is a flexible and versatile synthetic biology platform that guides immune system cells to target single or multiple tumor antigens while controlling the proliferation and tolerance of immune cells; the platform can precisely control the activity of Xyphos' proprietary universal CAR-T (universal CAR-T cells). Xyphos’ patented CAR technology is based on the engineering of a natural human receptor called NKG2D. Through the unique protein engineering technology of the ACCEL platform, the natural NKG2D receptor has been mutated to prevent it from binding to any natural ligands, turning it into an inert NKG2D (iNKG2D). T cells are only activated when triggered by the company's proprietary bispecific antibody, named MicAbody.MicAbody can guide CAR-T cells expressing inert NKG2D receptors to connect with target cells, enabling the CAR-T cells to aggressively attack and kill targeted tumor cells. These CAR-T cells are referred to as convertibleCAR® cells. A key feature of this platform is that there is no need to reconstruct the CAR-T cells; simply replacing the MicAbody can endow the CAR-T cells expressing inert NKG2D receptors with the ability to target different antigens.
CONVERTIBLECAR™ Cell Therapy Technology PlatformXyphos' proprietary ConvertibleCAR™ (chimeric antigen receptor) technology can be programmed and reprogrammed in vivo to target multiple tumor antigens, offering an improved approach to mobilizing immune cells to seek and destroy target tumor cells.ConvertibleCAR™ technology makes it possible to use cytotoxic T cells in combination with any number of antibodies. This feature is crucial for combating pathogens like HIV, which has hundreds of different variants. This flexible technology willConvertibleCAR™A one-time delivery of cells to the patient, allowing doctors to use the most suitable antibody or antibody mixture for treating the patient's disease (such as HIV/AIDS or leukemia). ConvertibleCAR™ will completely revolutionize the CAR-T cell system.Universal Donor Cells (UDC) – Cutting-edge Allogeneic Cell Therapy PlatformPluripotent stem cells are foundational cells that constitute all cells in the human body and can be used to produce almost any type of therapeutic cell. UDC technology, owned by Astellas, integrates various cutting-edge methods to precisely engineer induced pluripotent stem cells, establishing a sophisticated allogeneic cell therapy platform.A major advantage of UDC is that a single cell line can differentiate into a variety of potential cell therapies. This proprietary approach combines nuclease-free gene editing with viral vectors, immortal stem cell engineering capable of forming any cell type, and specific human leukocyte antigen modifications to develop cancer cell therapies that can both avoid immune rejection and be used for any patient.Xyphos currently has 8 research projects in the preclinical stage, primarily focused on the field of cancer treatment.

XyphosHistory of Cooperation and Transactions:1, June 1, 2022,Xyphos and GO Therapeutics(hereinafter referred to as "GO") have reached a cooperation agreement to search for and develop novel antibodies with high affinity against two different glycoprotein targets.According to the cooperation agreement, GO will utilize its expertise and platform technology in targeting tumor-specific O-glycoproteins to discover two novel antibodies with high affinity for two different glycoprotein targets. Astellas will be responsible for the further research, clinical, and commercial development of these two antibodies. For this, Astellas will pay GO an upfront payment of $20.5 million and milestone and contingent payments totaling $763 million, bringing the total amount to up to $783.5 million.
2、March 30, 2023, Biotechnology CompanyImmunoPrecise Antibodies, Ltd Announces Collaboration with Xyphos Biosciences, Inc..Reach a research collaboration and exclusive option licensing agreement. According to the terms of the agreement, the two companies will jointly conduct research activities to identify and optimize proprietary LENSai in silico-generated antibodies targeting an undisclosed goal within the tumor microenvironment (TME) as a potential therapeutic development candidate. Astellas will have the exclusive right to license any candidate development projects arising from the collaboration. Through this partnership, the companies expect to optimize the candidate development projects and leverage Astellas’ convertibleCAR™ cell therapy technology to stimulate highly specific and targeted attacks on cancer cells.
