Hansoh Pharma(03692.HK): Entered into HS-20093 License Agreement with GSK, Milestone Payments Up to $1.525 Billion

Hansoh Pharma (03692.HK) announced that on December 20, 2023, its wholly-owned subsidiary, Shanghai Hansoh Biomedical Technology Co., Ltd. ("Licensor"), entered into a licensing agreement with GlaxoSmithKline Intellectual Property (No.4) Limited ("Licensee"). Under the agreement, the Licensee will be granted an exclusive global license (excluding China) to develop, manufacture, and commercialize HS-20093 ("the Product").

This product is a novel B7-H3-targeted antibody-drug conjugate (ADC), composed of a fully humanized B7-H3 monoclonal antibody covalently linked to a topoisomerase inhibitor (TOPOi) payload. It is currently undergoing multiple Phase I and Phase II clinical trials in China for the treatment of lung cancer, sarcoma, head and neck cancer, and other solid tumors.

According to the license agreement and its terms and conditions, the licensor will receive an upfront payment of $185 million and is eligible to receive milestone payments of up to $1.525 billion upon the achievement of related events for the product. After the product's commercialization, the licensee will also pay tiered royalties on global net sales outside of mainland China, Hong Kong, Macao, and Taiwan.

The licensee is a wholly-owned subsidiary of GSK plc (GSK), a global biopharmaceutical company headquartered in London, UK.
