2seventy bio

Developer of New Drugs for Cancer Treatment

On January 30, Regeneron announced the acquisition of 2seventy bio, gaining full development and commercialization rights to the latter's drug discovery platform, clinical production platform, and pipeline of novel investigational immunocyte therapies. Additionally, Regeneron will establish a new division, Regeneron Cell Medicines, to advance the acquired programs as well as its own cell therapy projects. The transaction is expected to be completed in the first half of 2024.

In 2018, Regeneron and bluebird bio (which spun off 2seventy bio in 2021) reached an agreement to collaborate on developing new cell therapies for cancer treatment. According to the initial agreement, Regeneron has the option to co-develop and co-commercialize projects arising from the collaboration targets.

According to the latest terms of the acquisition agreement, Regeneron will obtain full development and commercialization rights to 2seventy bio's preclinical and clinical pipeline projects and will assume responsibility for other projects related to these programs as well as associated infrastructure and personnel costs. Regeneron will pay 2seventy bio a $5 million upfront payment and a milestone payment upon the first approval of the initial product. Regeneron will also pay tiered low single-digit royalties on marketed product revenue to 2seventy bio.

To fully leverage the potential of 2seventy bio's programs and platform, the new division Regeneron Cell Medicines will advance the development of next-generation cell therapies and explore the potential of combining these programs with Regeneron's antibody drugs. Additionally, Philip Gregory, the current Chief Scientific Officer of 2seventy bio, will be appointed as Senior Vice President and Head of Regeneron Cell Medicines upon completion of the transaction.

George D. Yancopoulos, M.D., Ph.D., Co-Founder, President, Chief Scientific Officer and Co-Chairman of the Board of Regeneron, said: "Regeneron and 2seventy bio are both committed to pushing the boundaries of science to develop therapies that can improve people's lives. Our antibody technology platform and expertise in emerging genetics, combined with 2seventy bio’s cell therapy technology platform, will offer opportunities to address the needs of cancer and other serious diseases in new and impactful ways. By integrating 2seventy bio’s cell therapy pipeline and talented team, we are enhancing our own expertise and innovative immuno-oncology portfolio, which may lead to transformative therapies that truly change patients' lives."
