Introduction: Acquisition consideration of 2.7 billion euros

On February 5, 2024, Novartis reached an all-cash acquisition agreement with MorphoSys for a purchase price of 2.7 billion euros, approximately 2.9 billion US dollars.

MorphoSys is a German biotechnology company founded in 1992. Its core pipeline includes the CD19 antibody Tafasitamab, which has been sold to Incyte. The subsequent pipelines include the BET inhibitor Pelabresib and the EZH2/EZH1 inhibitor Tulmimetostat.

As a pioneer in antibody engineering, MorphoSys has multiple antibody drug pipelines under collaborative development, including the BAFF-R antibody Ianalumab in partnership with Novartis, the FXI antibody Abelacimab in collaboration with Anthos, the Sclerostin antibody Setrusumab developed with Ultragenyx, the ACVR2B antibody Bimagrumab in cooperation with Eli Lilly, and the CD38 antibody Delzartamab in collaboration with HiBio and I-Mab Biopharma.

Summary

This acquisition will further strengthen Novartis' presence in the oncology field, with the BET inhibitor Pelabresib expected to submit its marketing application in the second half of this year.
