Tumor Therapeutics Developer
Gilead Sciences and Xilio Therapeutics announced today an exclusive licensing agreement that could exceed $600 million in total value. The two companies will jointly develop and commercialize Xilio's tumor-activated therapies.Interleukin-12 (IL-12) ProteinXTX301, the drug currently under research is inClinical1Phase。

Xilio Therapeutics is a clinical-stage biotechnology company dedicated to the discovery and development of tumor-activated immuno-oncology therapies.The company is leveraging its proprietary tumor-activation platform to build a series of novel tumor-activating molecules,Including antibodies, cytokines, bispecific drugs, and cell engagers,Aimed at optimizing the therapeutic index and restricting the drug's antitumor activity to the tumor microenvironment.XTX301 is currently being evaluated in a Phase 1 dose-escalation trial for the treatment of patients with advanced solid tumors.
According to the terms of the agreement,Xilio Grants Gilead Global Exclusive License for Development and Commercialization of XTX301. Xilio will receive a $43.5 million upfront payment and is eligible for up to an additional $604 million in potential development, regulatory, and sales milestone payments.Xilio will be responsible for the development of the ongoing Phase 1 clinical trial of XTX301. After Xilio delivers the specified clinical data for XTX301, Gilead has the option to obtain the development and commercialization rights for XTX301 by paying a fee of $75 million. Prior to this, Xilio is eligible to receive additional investments and development milestone payments totaling up to $29 million.

IL-12 is a pro-inflammatory cytokine designed to effectively stimulate anti-tumor immunity and reprogram the tumor microenvironment (TME) of poorly immunogenic "cold" tumors into an inflamed or "hot" state, offering potential for cancer immunotherapy.XTX301 is a half-life extended, shielded, tumor-activated IL-12 protein. XTX301 is designed to be pharmacologically inactive when circulating in non-tumor tissues and can be activated by matrix metalloproteinases (MMP) present in the tumor microenvironment.
