BeiGene, Inc. and Royalty Pharma reach $885 million royalty agreement

BeiGene, Inc.(688235/06160/BGNE) announced that on August 25, 2025, the company and its wholly-owned subsidiary BeiGene Switzerland GmbH entered into a Royalty Purchase Agreement with Royalty Pharma. Under the agreement, Royalty Pharma has agreed to pay $885 million to BeiGene Switzerland at closing in exchange for the majority rights to net sales royalties from the monoclonal antibody product Imdelltra sold outside of China.

In addition, from the closing date until August 25, 2026, BeiGene, Inc. will have the right to sell additional royalty rights to Royalty Pharma, which, if exercised, would result in an additional payment of up to $65 million. The seller will share a portion of the royalties on annual Imdelltra ex-China net sales exceeding $1.5 billion. This transaction does not constitute a related-party transaction, nor does it constitute a significant asset restructuring.
