Ophthalmic Medical Device R&D, Production, and Sales

Haohai Biotech(06826) announced that on November 7, 2025, Shanghai Haohai Medical Technology, a wholly-owned subsidiary of the Company, entered into a supplementary agreement for equity transfer with the transferor Mr. Zhang, Shenzhen Jiusi, and Shenzhen Bainuo as the transferee. The transferor agreed to sell the remaining 20% equity of the target company (Shenzhen New Industries Material of Ophthalmology Co., Ltd., Sznimo) to the transferee for a consideration of RMB 74 million. Upon completion of the acquisition, the Group will hold 100% equity of the target company.

The target company is a limited company established in China, mainly engaged in the manufacture and sale of orthokeratology lens products and intraocular lens products, as well as the distribution of multiple imported ophthalmic products in mainland China, including intraocular lenses, ophthalmic viscoelastic agents, and sodium hyaluronate gel for glaucoma surgery.

Since acquiring 60% and 20% of the target company's equity in November 2016 and February 2023 respectively, our group has been committed to steadily advancing into the high-value ophthalmic consumables sector. After years of integration and development, our group has become a leading manufacturer of intraocular lens products in China, and the target company has become one of our main subsidiaries. Upon completion of the acquisition, our group’s equity in the target company will increase to 100%, which is conducive to improving the management and operational efficiency of the target company, thereby enhancing the market competitiveness of our group’s ophthalmic products. Therefore, the directors believe that the acquisition aligns with the group’s development needs and overall business strategy.
