BrightGene Pharmaceuticals (688166.SH) Announces RMB 50 Million Investment in GeekGene to Advance Cell Therapy Development

Gelonghui November 14thBori Medicine(Maintain Rights)(688166.SH) announced that, in accordance with the company's development strategy plan, it intends to invest RMB 50 million in Suzhou Geek Gene Technology Co., Ltd. This investment will subscribe to RMB 437,100 of Geek Gene’s newly increased registered capital, with the remaining amount credited to the capital reserve fund of the target company. Prior to this investment, the company held 4.0816% of Geek Gene’s equity, and after the investment, it will hold 12.8015% of the target company’s equity.

Suzhou Geek Gene Technology Co., Ltd. is an innovative cell drug development company characterized by the regulation of cell fate through high-throughput omics data. The company mainly engages in single-cell sequencing services and the development of immune cell therapies, currently focusing on developing long-lived tumor-reactive T-cell drugs for the treatment of mid-to-late stage solid tumors. Geek Gene possesses world-leading platforms for single-cell multi-omics data collection, low-cost high-throughput omics technology, and cell fate reprogramming technology, with the stability of related data ranking at a world-leading level. Based on these three technological platforms, Geek Gene has developed a cell fate navigation system, which is used to research and develop innovative T-cell therapeutic drugs.

The appraisal report takes July 31, 2025, as the appraisal base date and selects the asset-based approach appraisal result as the appraisal conclusion. According to the asset-based approach appraisal, the market value of the entire equity interest of the appraised entity on the appraisal base date is RMB 461.3686 million. After the appraisal base date and before this capital increase, Suzhou Geek Gene Technology Co., Ltd. completed two rounds of financing, with a total capital increase of RMB 40 million. After friendly negotiations by all parties, the pre-investment valuation for this round was determined to be RMB 500 million.
