Introduction: Cooperation is expected to continue to expand

On July 29, GSK announced a collaboration agreement with Flagship Pioneering, a bioplatform innovation company, aiming to discover and develop a series of transformative new drugs and vaccine combinations starting from the fields of respiratory and immunology.

Valued at over $7 billion


Under the agreement, the two parties will jointly contribute $150 million in upfront funding for a research project focused on respiratory and immunology to support work during the initial exploration phase. More than 40 biopharmaceutical subsidiaries under Flagship will participate in the project. The collaboration aims to identify a portfolio of up to 10 new medicines and vaccines, with GSK holding exclusive options for further clinical development of each.


For each project selected by GSK, Flagship will be eligible to receive up to $720 million in upfront, development, and commercial milestone payments, as well as preclinical funding and tiered sales royalties. This means that Flagship's portfolio companies could potentially receive over $7 billion in milestone funding.


GSK Chief Scientific Officer Tony Wood博士 said in a press release on July 29 that, through the collaboration with Flagship, GSK will leverage scientific technology to achieve cutting-edge innovations at the fastest pace. GSK looks forward to collaborating with Flagship's outstanding team and its ecosystem of bioplatform companies to further accelerate the enrichment of its product pipeline.


Paul Biondi, General Partner of Flagship Pioneering and President of Pioneering Medicines, stated at the press conference that this collaboration is the latest example of Flagship's innovative supply chain partnership model. This model aims to leverage its first-of-a-kind bioplatform ecosystem to co-develop transformative drugs with pharmaceutical partners, creating sustainable therapeutic resources for patients with the greatest unmet needs.


Notably, according to the press release, the collaboration will "begin in the fields of respiratory and immunology," indicating that the partnership may expand into broader therapeutic areas.


Earlier this month, Flagship Pioneering hinted that another large pharmaceutical company might soon join its growing BD fleet. Now, GSK has come into view.


GSK's BD has always had a keen eye, and this time, the decision to invest heavily in Flagship once again proves Flagship's exceptional qualities.


What is the Background of Flagship


Flagship and its subsidiaries have achieved fruitful results in BD cooperation in the pharmaceutical field. Before joining hands with GSK, Flagship had cooperated with MNCs such as Pfizer and Novo Nordisk.


In July 2023, Pfizer and Flagship Pioneering announced a collaboration. According to the terms of the agreement, both parties will contribute an upfront investment of $50 million each. Through this partnership, Pfizer will leverage Flagship's extensive biotechnology platform ecosystem to jointly explore up to 10 new projects (single assets). Pfizer will provide funding and has the right to acquire these projects. If each project successfully reaches the market, Flagship and its associated companies will be eligible to receive milestone payments of up to $700 million per project, making the maximum potential value of this deal $7 billion.


In May 2024, Novo Nordisk signed a collaboration agreement worth up to $600 million with Metaphore Biotechnologies, a biotechnology company founded by Flagship in 2021, to jointly develop next-generation GLP-1 receptor agonists for the treatment of obesity, with the aim of providing patients with safer and more effective therapeutic options.


According to the cooperation agreement, Novo Nordisk will pay the R&D costs simultaneously and participate in Metaphore's future financing.


In addition to traditional pharmaceutical companies, Flagship's BD deals also extend to the device and CDMO industries.


On November 28, 2023, Flagship announced a strategic partnership with Thermo Fisher Scientific to accelerate the development and commercialization of multi-product platforms at scale. Through this collaboration, Thermo Fisher and Flagship will jointly establish new platform companies focused on innovative tools and capabilities, leveraging the expertise of both companies in areas such as life science tools, diagnostics, and services, aiming to drive the biotechnology ecosystem and expedite the development of first-class therapies.


On January 8, 2024, Flagship reached an agreement with Samsung. Samsung will collaborate with companies founded by Flagship to leverage Samsung's leading technology and capabilities to accelerate the development of first-in-class and best-in-class therapies. The collaboration fully utilizes the expertise of both parties in life science technologies, artificial intelligence, and CDMO services, extending into Flagship’s corporate ecosystem. Specifically, the partnership will harness revolutionary technologies such as artificial intelligence and translational medicine, access to high-quality clinical samples, Samsung’s clinical trial infrastructure, and Samsung’s investment in companies created by Flagship.


In addition to being a biotechnology company, Flagship also has another identity - a top-tier venture capital firm.


Flagship Pioneering is one of the most renowned venture capital firms globally, dedicated to funding and supporting early-stage life science technologies. To date, Flagship has incubated and founded over 100 companies, with assets under management reaching $14 billion.


In early July, Flagship announced that it had completed a $3.6 billion fundraising round. The funds will be used to establish approximately 25 new companies, with investment focuses including artificial intelligence, human health, and sustainability.


Conclusion


Vaccines are one of the three major business segments of GSK, and new drugs are also one of the key areas where GSK is focusing its efforts. This substantial investment in "partnering" with Flagship demonstrates its unique insight into acquiring high-quality assets. It also reaffirms that the License-in model has become one of the main methods for pharmaceutical companies to supplement their product pipelines at this stage.
