The company is dedicated to addressing rare monogenic cardiomyopathies.
Merck KGaA and Versant Ventures adopt a customized “build-to-buy deal structure”transaction structure, co-founded Saturnus Bio.
Pursuant to the terms of the agreement,Merck KGaA to Pay $50 Million Upfront Cash Payment, fully covering all early-stage R&D activities of Saturnus Bio; additionally, tiered performance-based preclinical milestone payments will be made separately, triggered by phased progress in the development pipeline.
Merck KGaA will hold a minority stake in Saturnus Bio and secure an exclusive global option to acquire the company in full upon the achievement of predefined R&D milestones.
The entire acquisition consideration payable to Versant Ventures under the transaction is structured as performance-based contingent payments tied to clinical development milestones, with no product sales royalty provisions included in the overall consideration framework. Versant Ventures serves as the sole founding incubator and lead venture capital investor for this project.
