Pursuant to the terms of the M&A new drug transaction agreement, upon completion of the closing of the transaction,Ipsen to Pay $450 Million Upfront Cash Payment; the total consideration for this transaction could reach up to $1.75 billion. In addition to the aforementioned upfront payment, milestone payments of up to $1.3 billion are included, with payment triggers linked to regulatory approvals and commercial sales performance. Kartos Therapeutics’ core pipeline asset, navtemadlin (KRT-232), is an oral selective MDM2 inhibitor, currently targetingRare Hematologic Malignancy: MyelofibrosismyelofibrosisConduct Late-Stage Clinical Studies; This acquisition incorporates this differentiated MDM2-targeted candidate drug into Ipsen’s oncology pipeline, strengthening the Group’s positioning in the field of hematologic oncology.
