Pursuant to the terms of the M&A new drug transaction agreement, upon completion of the closing of the transaction,Ipsen to Pay $450 Million Upfront Cash Payment; the total consideration for this transaction could reach up to $1.75 billion. In addition to the aforementioned upfront payment, milestone payments of up to $1.3 billion are included, with payment triggers linked to regulatory approvals and commercial sales performance. Kartos Therapeutics’ core pipeline asset, navtemadlin (KRT-232), is an oral selective MDM2 inhibitor, currently targetingRare Hematologic Malignancy: MyelofibrosismyelofibrosisConduct Late-Stage Clinical Studies; This acquisition incorporates this differentiated MDM2-targeted candidate drug into Ipsen’s oncology pipeline, strengthening the Group’s positioning in the field of hematologic oncology. Subject to the satisfaction of customary closing conditions, the transaction is expected to be completed by the end of the third quarter of 2026.
