Shanghai Securities News China Securities Network: On June 15,NorthlandThe Company announced that it intends to enter into a "Contract for Entrusted Production by the Drug Marketing Authorization Holder" with Jiangsu Yaohai-Bio Pharmaceutical Co., Ltd. (hereinafter referred to as "Yaohai-Bio") regarding the entrusted production of Semaglutide Injection (brand name: Huasuoling). The agreement stipulates that, from the effective date of the contract until December 31, 2030, the Company will entrust Yaohai-Bio with the production of Semaglutide Injection (brand name: Huasuoling). During the period of entrusted production, the cumulative entrusted production fees shall be no less than RMB 90 million, with specific terms subject to the contract.

The announcement indicates that the proposed signing of the “Entrusted Manufacturing Agreement for Drug Marketing Authorization Holders” is a key arrangement to advance the commercialization of Sardominji Injection. This move helps ensure market demand during the initial product launch phase and aligns with the company’s overall strategic development plan. The performance of this contract will not affect the independence of the company’s business operations, nor will it have any adverse impact on the company’s financial and operational status. There are no circumstances that would harm the interests of the company or its shareholders as a whole.

The contract terms clearly stipulate the contract price, conditions for effectiveness, and other matters, and all parties to the contract possess the capacity to perform their obligations. However, due to the project’s certain duration, factors such as changes in policies and regulations, market conditions, and force majeure encountered during the performance of the entrusted production contract may result in the contract being unable to be performed on schedule or in full. Meanwhile, although the Company has agreed upon safeguard clauses regarding production quality, order delivery, cost settlement, and other matters, potential risks remain, including uncertainties in performance and changes in subsequent cooperation.
